Company incorporation & Secretarial work related
- A company shall not be registered by a name which—
- Is identical with the name of any other company or of any registered overseas company
- Contains the words “chamber of commerce”,
- Is in the opinion of the registrar, misleading
- Except with the consent of the minister given having regard to the national interest, no company shall be registered by a name which contains the words :—
- “President”, “Presidential”;
- “Municipal”, “Incorporated”;
- “Co-operative”, “Society”;
- “National”, “State” or “Sri Lanka” or other words which in the opinion of the registrar suggest or are calculated to suggest, any connection with the government or any government department.
Generally it is not required to have a object clause in the Articles of Association. However it can have the objects as a part of the Articles of Association, if the rules of the Exchange Commission or Stock Exchange or a Board of Investment agreement requires the objects to be included.
- at least two for a Public Company
- at least one for any other Company
Age limit is 70 years
It will depend on the type of the company and the number of directors. Please get a quotation from the company.
There should be at least two natural persons to incorporate a company, therefore, single director cannot be appointed as the company secretary.

The combination of two or more companies into a new entity by combining the assets and liabilities of both entities into one.
A foreigner can be appointed as a director of a company but there are some restriction on that.

- Copy of Registration Certificate issued by the relevant government authority
- Tax payers Identification Number (TIN certificate),
- In case of import purposes, the commercial invoice with bank endorsement and the Bill of Lading/Airway Bill,
- In case of export purposes, the export license issued by the Export Development Board or other exports relevant documents (Ex. Registration certificate of Tea Board, Coconut Cultivation Board, Gem and Jewellery Authority),
- In case of income tax payers, the receipt of last payment,
- In case of proprietorship or partnership business, business registration certificate,
- NIC of the applicant/Director,
- In case of limited liability company, Certificate of Incorporation (Form 2A/41), application for registration of company (Form 01/40).
